Our client is a leading, global investment manager with an established legal team.
This is an exciting time to join this highly regarded asset manager
This opportunity will suit experienced Funds Lawyers / Solicitors /Barristers with experience in the area of investment funds.
You will be responsible for legal work relating to the European funds, so experience of UCITS and AIFS is essential.
Key areas of responsibility:
Legislation and regulation - Follow-up, analysis and implementation of new legislation or regulatory requirements impacting the funds under management (e.g. UCITS, AIFMD, MiFID II, EMIR, SFDR, CP86,
Outsourcing Requirements etc.);
Fund approvals/amendments – Complete Central Bank and CSSF applications for new sub-funds and manage all post authorization fund amendments with the Central Bank or the CSSF. Generally assist with product development right from idea stage through to fully managing the new product approval process with the regulator and internal and external stakeholders;
Fund Documentation – Draft and maintain fund and management company documents (e.g. Prospectus, Supplements, KIIDs and Business Plan) and other ancillary documents related to the investment funds under management;
Contracts - Draft and review a range of commercial contracts impacting the management company and the funds under management (such as IMAs with third party managers, investment advisory agreements, licensing agreements etc.);
Transactional Documentation: Draft and review fund transactional documentation such as ISDA Agreements, transaction confirmations, ISDA amendment agreements, give-up agreements etc.;
Legal advice – Provide practical, business-oriented legal advice on issues that arise in the context of its Irish and Luxembourg fund umbrellas and in respect of own management company governance requirements;
Projects - Participation in ad-hoc regulatory and business projects;
Board and committee preparation – Assist internal stakeholders and the Company Secretary in respect of preparing and organizing quarterly board meetings and product committee meetings; and
Represent the company at external conferences, industry events or fund association events.
