**Responsibilities**
- Prepare Board, Audit, and Risk committees meeting agendas and schedule meetings.
- Collate Board and Committee materials and circulate them within agreed timelines.
- Coordinate and prepare Management and Governance committee agendas and minutes.
- Maintain oversight of all action points to conclusion.
- Draft board resolutions as required.
- Support the maintenance of statutory books and records and monitor compliance with all relevant statutory/regulatory requirements and filing deadlines.
- Arrange for document execution, notarisations, apostilling, and filing with relevant registers.
- Address queries/requests relating to corporate governance matters.
- Responsible for submission of annual returns to the Companies Registration Office.
- Manage submissions of changes to the Central Register of Beneficial Ownership of Companies.
- Oversee corporate governance obligations, ensuring compliance with Corporate Governance requirements for Insurance undertakings.
- Maintain and coordinate Board Policies and Terms of Reference documents.
- Coordinate and support annual Board performance assessments.
- Support the legal function with various legal matters, including requirements responsibility maps & Fitness & Probity Registers.
**Requirements**
- ICSA qualified or equivalent.
- At least 2 years of experience in the financial services industry in a CoSec or deputy CoSec role.
- Strong attention to detail and extensive minute-taking experience.
- Demonstrated strong communication and inter-personal skills, with the ability to work with the Senior Executive team within the Group.
- Analytical mind/capability, with the ability to grasp complex legislation and ensure compliance with requirements.
- Ability to work under pressure and to deadlines.
- Ability to prioritize workload and effective time management.
