Legal Counsel - M&A experience essential
An exciting opportunity has arisen for a skilled and motivated Legal Counsel to join a dynamic European group headquartered in Dublin. Key points to note:
Responsibilities
- Provide comprehensive, accurate legal, regulatory to advice to the General Counsel and other senior stakeholders.
- Collaborate with internal and external stakeholders to review, draft, and negotiate a broad range of commercial contracts across multiple jurisdictions.
- Structure and maintain intercompany agreements between various Group entities.
- Update and standardise precedents as necessary for use across the Group.
- Assist with contract management and identify proactive solutions to eliminate or mitigate risks.
- Manage external counsel panel, negotiate fee arrangements, and track legal spend.
- Play an active advisory role in M&A to reduce dependency on external legal advisors.
- Support on legal aspects of corporate financing and fundraising activities, including capital raises and debt financings, by assisting with due diligence, reviewing transaction documents, and coordinating with counsel, investors, and internal stakeholders.
- Determine scope for legal due diligence of companies and ensure protection against identified risk factors.
- Monitor legal developments and legislative changes that may impact business and company goals.
- Assist with Group policies and procedures, ensuring statutory compliance and data protection standards.
Requirements
- Ideal candidate will have between 3 – 7 years’ PQE with a broad-based legal background.
- Bachelor’s degree in law, legal studies, or a related field.
- Qualified solicitor admitted in Ireland (and/or England & Wales).
- In-house experience or secondment preferred.
- Previous M&A experience required.
- Proven ability to deal with complex matters that cut across legal and related areas.
- Exceptional communication skills with a track record of developing strong and trusted cross-functional relationships.
- Excellent problem-solving skills and strong commercial acumen.
- Ability to work under pressure, prioritise effectively, and provide concise, commercially driven legal advice.

- 3-7 year pqe (qualified in Ireland or England/Wales)
- Reporting to the Head of Legal
- While the role will have a lean towards M&A work, you will also be requried to work on more general legal work including commercial contracts, compliance, governance etc
